DishDropper Program Terms

Introduction

PLEASE READ CAREFULLY. These DishDropper Program Terms ("DishDropper Terms") govern your participation in the DishDropper creator program ("Program") offered by Dlicio Inc. ("Dlicio", "we", "us", or "our"). They supplement and form part of the Dlicio Terms of Service. By applying to or participating in the Program, you agree to these DishDropper Terms.

If you do not agree, do not participate in the Program.

1. Eligibility and Registration

1.1 Eligibility. You must be at least 18 years old (or the age of majority in your jurisdiction), have the legal right to work as an independent contractor, and have a valid Dlicio account in good standing.

1.2 Application and Approval. To become a DishDropper, you must submit an application or opt-in through the Dlicio app or website. We may approve or reject any application at our sole discretion, and we may revoke your access to the Program at any time.

1.3 Independent Contractor. You participate as an independent contractor, not an employee, agent, or partner of Dlicio. You are solely responsible for your own taxes, expenses, and compliance with applicable laws.

2. Creator Content

2.1 Creator Content Definition. "Creator Content" means videos, photos, captions, text, audio, and any other material you create or upload to Dlicio in connection with the Program.

2.2 Ownership. As between you and Dlicio, you retain ownership of your Creator Content, subject to the license you grant us in these DishDropper Terms and in the Dlicio Terms of Service.

2.3 License to Dlicio. You grant Dlicio a worldwide, non-exclusive, transferable, sublicensable, royalty-free, and irrevocable license to host, store, use, reproduce, adapt, modify, create derivative works from, publish, translate, distribute, publicly perform, publicly display, and otherwise exploit your Creator Content in any media now known or later developed, for the purposes of operating, promoting, and improving Dlicio, the Program, and our partners' offerings.

2.4 Use by Restaurants and Partners. You agree that we may allow Restaurants and other partners to use and share your Creator Content in connection with their presence on Dlicio (for example, on their Dlicio page, social media, or in other promotional materials).

2.5 Moral Rights. To the extent permitted by law, you waive any moral rights or similar rights in and to your Creator Content as against Dlicio and our sublicensees.

2.6 Content Standards. Creator Content must comply with our Acceptable Use rules and any creator guidelines we publish. Content must be honest, not misleading, safe, and compliant with applicable laws (including advertising and disclosure rules).

3. Program Activities

3.1 What DishDroppers Do. As a DishDropper, you may:

  • create and upload Creator Content about dishes and Restaurants featured on Dlicio;
  • link your Creator Content to specific dishes, menus, or Restaurants in the app;
  • participate in campaigns, challenges, or promotions that we or our partners may run.

3.2 No Obligation to Post. You choose how often you create and upload Creator Content, subject to any minimum requirements for specific campaigns or bonuses we may offer from time to time.

3.3 No Guarantee of Distribution. We may feature or deprioritize your Creator Content in our discovery feeds or elsewhere at our sole discretion. We do not guarantee any particular reach, views, or performance.

4. Earnings and Payouts

4.1 Revenue Share. Where available, you may earn a revenue share on qualifying orders that we attribute to your Creator Content ("Earnings"). The applicable revenue share percentages, bonuses, and rules will be displayed in the app or communicated to you at the time of the campaign.

4.2 Attribution and Tracking. We determine which orders are attributed to your Creator Content using our internal tracking systems. This may include, for example, users who view your content and then tap through to a dish, menu, or Restaurant and place a qualifying order within a defined tracking window. Our attribution decisions are final.

4.3 Qualifying Orders. We may exclude certain orders from Earnings, including:

  • cancelled or refunded orders;
  • fraudulent or abusive transactions;
  • orders that violate these DishDropper Terms or the Dlicio Terms of Service.

4.4 Payout Threshold and Schedule. You will only receive payouts once your accrued, approved Earnings meet or exceed the minimum payout threshold disclosed in the app (for example, $25 CAD). Payouts are made on a periodic schedule (for example, monthly) to the payout method you select (e.g., Stripe or PayPal).

4.5 Fees and Currency. Payouts may be subject to transaction fees and currency conversion fees charged by payment providers. Dlicio is not responsible for delays or issues caused by these providers.

4.6 Taxes. You are solely responsible for any taxes, reporting, or filings arising from your participation in the Program and your Earnings. We may require you to provide tax forms or identification information to comply with applicable laws and may withhold amounts where required.

4.7 Adjustments. We may adjust, withhold, or reverse Earnings in cases of suspected fraud, error, violation of these DishDropper Terms, chargebacks, or other irregularities.

4.8 No Guarantee of Earnings. Dlicio does not guarantee that you will earn any particular amount through the Program.

5. Disclosures and Compliance

5.1 Advertising and Sponsorship Disclosures. If you receive free items, discounts, or any other value from a Restaurant or third party in connection with Creator Content, or if your content is sponsored, you must clearly disclose this in compliance with applicable advertising laws and guidelines (for example, using "#ad" or similar clear labels).

5.2 Compliance with Laws. You are responsible for ensuring that your activities and Creator Content comply with all applicable laws, regulations, and industry guidelines, including those relating to advertising, consumer protection, and privacy.

5.3 Third-Party Platform Rules. If you share or repurpose Creator Content on other platforms (such as social media), you must comply with those platforms' terms and policies.

6. Acceptable Use

6.1 Prohibited Conduct. In addition to the Acceptable Use rules in the Dlicio Terms of Service, you must not:

  • misrepresent a Restaurant, menu item, price, or availability;
  • stage unsafe or unsanitary food practices;
  • encourage harmful or illegal behavior;
  • manipulate or attempt to manipulate attribution or Earnings (for example, by placing fake orders, using bots, or incentivizing users in deceptive ways).

6.2 Brand Use. You may only use Dlicio's name, logos, and trademarks as expressly permitted by us and in accordance with any brand guidelines we provide. We may revoke this permission at any time.

6.3 Community and Restaurant Treatment. You agree to treat Restaurants, customers, and other users with respect. Harassment, hate speech, or abusive conduct can result in suspension or termination from the Program.

7. Program Changes and Termination

7.1 Changes to the Program. We may modify, suspend, or discontinue the Program, including any revenue share rates, eligibility criteria, or features, at any time. Where required, we will provide notice (for example, by updating these DishDropper Terms or notifying you in the app).

7.2 Your Termination. You may stop participating in the Program at any time by following the steps in your account settings or contacting us.

7.3 Our Termination. We may suspend or terminate your participation in the Program at any time, with or without notice, including for:

  • violation of these DishDropper Terms or the Dlicio Terms of Service;
  • suspected fraud or misuse;
  • prolonged inactivity;
  • business or operational reasons.

7.4 Effect of Termination. Upon termination:

  • you may lose access to Program features and future Earnings;
  • we may continue to use your existing Creator Content as permitted by the licenses you've granted;
  • any approved but unpaid Earnings may be paid out according to our usual schedule, subject to these DishDropper Terms.

8. Relationship to Dlicio Terms of Service

8.1 Supplemental Terms. These DishDropper Terms supplement, and do not replace, the Dlicio Terms of Service and Privacy Policy, which continue to apply to your use of Dlicio.

8.2 Conflicts. If there is any conflict between these DishDropper Terms and the Dlicio Terms of Service with respect to the Program, these DishDropper Terms will control for that conflict.
