Terms of Service

Introduction

PLEASE READ CAREFULLY. This agreement governs your access to and use of Dlicio's websites, mobile applications, and services that facilitate ordering food and other products from third-party restaurants and merchants and, where available, delivery by independent couriers.

By accessing or using the Dlicio Platform, you agree to these Terms of Service (the "Terms"). If you do not agree, do not use the Platform.

1. Who We Are & How this Agreement Works

  • Dlicio Entities. "Dlicio," "we," "us," or "our" means Dlicio Inc. and/or its relevant regional affiliate that offers the Platform in your location. Contact information appears in Section 21.
  • The Platform. "Platform" means our website (e.g., dlicio.com and subdomains) and the Dlicio mobile apps, including features like Stack & Score, DishDrop, Spin-the-Wheel Rewards, and Reels Restaurant Discovery.
  • Your authority. You represent that you are of the age of majority in your jurisdiction and have authority to accept these Terms, including when acting for a company or other entity.

2. What Dlicio Does (and Doesn't Do)

  • Marketplace only. Dlicio provides video discovery technology that connects (a) consumers who want to purchase food, beverages, or other items ("Customers"), (b) restaurants and other sellers who prepare or sell those items ("Restaurants" or "Vendors"), (c) independent delivery people where applicable ("Couriers"), and (d) creators ("DishDroppers") who produce promotional video content for dishes and restaurants.
  • Not a seller or delivery company. Dlicio does not prepare food, does not sell merchant goods, and does not employ Couriers. Orders are fulfilled by Restaurants; deliveries (if offered) are handled by Couriers or by Restaurants themselves.
  • Availability varies. Some features may not be available in all areas or at all times.

3. Our Fee Model

  • For Customers. Dlicio advertises no price markups on menu items compared to a Restaurant's in-store menu, subject to: (i) taxes required by law; (ii) service fees, a small amount on your order total to cover payment processing; (iii) delivery fees, tips, or courier charges (if you choose delivery); and (iv) price changes made by Restaurants.
  • For Restaurants. Dlicio charges no commission on orders placed through the Platform for participating partners. Optional fees may apply for additional services (marketing, integrations, etc.).
  • For DishDroppers. Dlicio pays revenue share from qualifying orders traced to Creator Content (per Section 11(f)). No upfront fees.

4. Accounts & Security

  • Provide accurate, current information when creating an account.
  • Keep your login credentials secure.
  • We may suspend or terminate accounts for violations, risks, or inactivity.

5. License to Use the Platform

We retain your personal information for as long as needed to provide services and comply with legal obligations. You can request deletion of your data by contacting us.

6. Acceptable Use

You agree not to misuse the Platform, including by:

  • using bots or scraping tools;
  • tampering with security features;
  • uploading unlawful, harmful, or obscene content;
  • misrepresenting your identity.

7. Content & Intellectual Property

  • Dlicio IP. All trademarks, software, and design are owned by or licensed to Dlicio.
  • User Content. Reviews, photos, ratings, or other contributions ("User Content") are your responsibility. You grant Dlicio a license to use and display them in connection with the Platform. DishDroppers grant broader license per Section 11(f).

8. Privacy

Use of the Platform is subject to the Dlicio Privacy Policy.

9. Ordering, Pricing & Payments

  • Orders are final once placed. Restaurants may accept or reject.
  • Menu info comes from Restaurants. Contact them for allergen/dietary concerns.
  • Prices reflect Restaurant-set menu prices; no Dlicio markup.
  • Taxes, tips, and delivery charges may apply.
  • Payment authorizations, refunds, and adjustments are handled by third-party processors.

10. Pickup, Delivery & Alcohol

  • Pickup. Be on time; Restaurants are not required to remake late pickups.
  • Delivery. May be handled by Couriers or Restaurants. Delivery times are estimates.
  • Alcohol. You must meet local legal requirements and show valid ID. Failure to comply may result in cancellation without refund of certain fees.

11. Dlicio Features & Promotions

(a) Stack & Score (points & multipliers)

Stack & Score is Dlicio's rewards program where you earn points based on cart value thresholds.

  • Qualifying spend: Calculated on the subtotal (pre-tax, pre-tip, post-discounts).
  • Exclusions: Some items (e.g., alcohol), fees, taxes, and delivery charges may not earn points.
  • Posting: Points typically post after order completion. Cancellations or refunds may adjust balances.
  • Redemption: Points have no cash value and may only be redeemed for rewards in-app.
  • Expiration: Unused points may expire (e.g., after 12 months of inactivity).
  • Adjustments: Dlicio may correct balances for fraud, abuse, or errors.
  • No property right: Points are promotional, not property.
  • Changes: Thresholds, multipliers, and redemption rules may change at any time.

(b) DishDrop

Surfaces popular or timely dishes near you. Availability varies.

(c) Spin-the-Wheel Rewards

Chance-based rewards may grant credits, discounts, or perks. Odds, limits, and terms are disclosed in-app.

(d) Reels Discovery

Short-form content previews menus and Restaurants. Content may be user- or Restaurant-generated.

(e) Vouchers, credits & referrals

Promotional credits, referral bonuses, and gift cards are non-cash, may expire, and are non-transferable. Misuse (e.g., posting referral codes publicly) may void eligibility.

(f) DishDropper Program

Creators ("DishDroppers") may submit short videos showcasing dishes, restaurants, or culinary content ("Creator Content") to earn revenue shares from orders driven by their content. Full details are in the DishDropper program terms.

Eligibility & Participation.

Must be 18+, create original content compliant with Section 6 (Acceptable Use), and link to Dlicio orders. We approve/reject submissions at our discretion.

Earnings.

DishDroppers earn 2% revenue share (displayed in-app) from qualifying orders traced to their content within 7 days of order completion. Payouts net of taxes/fees, minimum $25 CAD, paid monthly via Stripe or PayPal. No guaranteed earnings; subject to fraud checks and order verification.

Creator Content License.

You grant Dlicio a perpetual, worldwide, royalty-free license to use, modify, distribute, monetize, and display Creator Content across all platforms and marketing. You retain ownership but waive moral rights. Content must include required disclosures (#ad if applicable).

Content Rules.

No false claims about dishes/restaurants, unsafe preparation demos, or misrepresentation. We may edit/remove content; repeated violations terminate participation.

Payouts & Taxes.

You're responsible for all taxes. Provide accurate payment/W9 info. Unclaimed payouts escheat after 12 months.

Termination.

We may end participation anytime for violations, low performance, or business reasons. No liability for lost earnings potential.

Changes.

Revenue shares, tracing methods, or terms may change with 14 days notice.

12. Third-Party Services & App Stores

External services (maps, app stores, processors) are your responsibility.

13. Service Changes & Downtime

We may update or suspend the Platform at any time.

14. Disclaimers

  • Menus and allergen info come from Restaurants.
  • Food safety and quality are Restaurant responsibilities.
  • The Platform is provided "as is."

15. Limitation of Liability

To the maximum extent allowed by law:

  • Dlicio is not liable for indirect, incidental, or special damages.
  • Our total liability will not exceed the greater of (a) what you paid for the relevant order in the prior 4 months, or (b) $100 CAD.
  • Restaurants and Couriers are independent; Dlicio is not liable for their actions.

16. Indemnity

You agree to indemnify Dlicio for claims arising from your use of the Platform, your User Content, or violations of these Terms.

17. Governing Law & Dispute Resolution

  • Governed by the laws of Ontario, Canada, unless otherwise required.
  • Disputes unresolved after 20 business days of notice go to binding arbitration under ADR Institute of Canada rules.
  • No class actions permitted.

18. Changes to these Terms

We may update Terms from time to time. Continuing to use the Platform means you accept changes.

19. Suspension & Termination

We may suspend or terminate your access for violations or inactivity. You may request account deletion.

20. Assignment, Severability, No Waiver

You may not assign these Terms. If part is unenforceable, the rest remains in effect.

23. Language

These Terms are available in English. In case of conflict, English prevails unless required otherwise by local law.
